Mission X Solutions Solar Division - Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into between Mission X Solutions, specifically its Solar Division ("Mission X Solutions" or "Mission"), and the undersigned independent contractor ("Agent"), effective as of the date agreed upon by both parties.

1. Definition of a Mission Agent

A Mission Agent is a 1099 independent contractor who operates as a member of the Mission X Solutions Solar Division team. As an independent contractor, the Agent is not an employee of Mission X Solutions and is responsible for managing their own business operations, interactions, and tax obligations.

2. Independent Contractor Status

The Agent agrees to work as a 1099 independent contractor under the Mission X Solutions Solar Division. By accepting this Agreement, the Agent acknowledges that they are not an employee of Mission X Solutions and have no rights to employment benefits. The Agent is solely responsible for all personal tax liabilities and for managing their work operations independently.

3. Agent Role and Responsibilities

As a Mission X Solar Agent, the Agent is responsible for all customer interactions, including any inquiries, issues, or disputes. Mission X Solutions is held harmless for any of the Agent’s interactions with customers. Any legal matters, complaints, or customer service concerns will be referred back to the Agent, who assumes full liability for managing customer relationships and outcomes.

4. Commission Structure

Payment Contingency: Commissions are paid based on amounts received by Mission from installers and financial partners. Mission can only remit payments to Agents for commissions collected from the installer or project funder.Holdback Policy: Mission reserves the right to hold and manage any commissions generated by an Agent who leaves the Mission X team.Installer and Agency Deductions: For each project:The installer, Freedom Forever, retains 20% of the project commission.Mission X Solutions retains $0.20 per watt as a management fee.The remaining commission is paid to the Agent listed on the project.

5. Non-Compete Clause

If the Agent engages with a competing team or begins their own competing team, Mission X Solutions reserves the right to retain any projects under its pipeline and management. Projects started under Mission X management remain Mission's property unless the Agent continues through a specific partnership option with Mission X Solutions.

6. Project Liability and Responsibility

Agent Liability: The Agent is fully responsible for the performance and outcome of each project. Mission X Solutions holds no liability for project completion or quality issues.Commission Adjustment for Underbids: If the Agent underbids a project, Mission will recover additional costs by deducting the shortfall from the Agent’s future commissions.Job Completion: If the Agent fails to complete a project within 90 days, Mission X Solutions reserves the right to assign another Agent to complete the job, in which case commissions will be redirected to the new Agent upon successful completion.

7. Commission Payment Terms

Payout Timeline: Commission payments are processed after a successful Permission to Operate (PTO) is granted for each project. No Guaranteed Payment Timeline: Mission X Solutions does not guarantee a specific timeframe for commission payouts, which are dependent on project completion and external partner payments.

8. Confidentiality and Intellectual Property

Mission X Materials: The Agent agrees not to use, replicate, or share any proprietary materials, training, strategies, or systems provided by Mission X Solutions. All materials are protected by copyright law and remain the property of Mission X Solutions. Data Protection: The Agent shall maintain confidentiality of customer data and company information.

9. Tax Responsibilities

The Agent is fully responsible for managing personal tax obligations as a 1099 independent contractor. Mission X Solutions will provide relevant tax forms as required by law but bears no responsibility for the Agent's tax payments or filings.

10. Indemnification

The Agent agrees to indemnify, defend, and hold Mission X Solutions harmless from any claims, damages, or liabilities arising from the Agent’s actions, customer interactions, or project-related issues.

11. Non-Solicitation

The Agent agrees not to solicit any current or prospective clients of Mission X Solutions for personal or competitive gain. This restriction remains in effect during their contract and for a period of [6-12 months] after termination, ensuring no adverse effects on Mission’s client base.

12. Performance Standards

Mission X Solutions reserves the right to review the Agent's performance and compliance with company policies. Failure to meet performance or conduct standards may result in termination of this Agreement without prior notice and forfeiture of future commission payouts on uncompleted projects.

13. Dispute Resolution

Any disputes arising from or related to this Agreement will be resolved through binding arbitration under the rules of [State/Applicable Organization] to minimize legal costs and avoid lengthy litigation. Each party will be responsible for their own legal fees unless otherwise awarded by the arbitrator.

14. Termination for Cause

Mission X Solutions reserves the right to terminate this Agreement with the Agent immediately if there is evidence of unethical conduct, fraud, or breach of contract. In such cases, all commissions related to pending projects may be forfeited, and the Agent will be held liable for any damages incurred.

15. Compliance with Laws and Regulations

The Agent agrees to comply with all federal, state, and local laws and regulations applicable to their independent contractor status and business activities. Any legal or regulatory breaches by the Agent will be their sole responsibility, and they agree to hold Mission harmless from any resulting consequences.

16. Non-Disparagement

The Agent agrees not to make any statements, publicly or privately, that could harm the reputation or business interests of Mission X Solutions, either during their association or after the termination of this Agreement. This includes negative comments, videos, images, or statements made on social media, online platforms, or to clients.

If the Agent violates this non-disparagement clause, they agree to be held liable for any damages resulting from such actions. Mission X Solutions reserves the right to demand the immediate removal of any harmful content, with potential legal action for failure to comply.

17. Acceptance of Terms

By accepting this Agreement, the Agent acknowledges and consents to all terms and conditions as stated, including the independent contractor status, liability clauses, and commission structure.
